Parallax Terms of Service
View v5
Please read these Terms carefully, particularly the provisions in bold that limit Parallax's liability or your rights, and section 8, which explains paid plans, automatic renewal, credits and refunds, and decide whether to accept them. By checking the acceptance box, registering an account or using the Service, you acknowledge that you have read and agree to these Terms.
1. General
1.1 Acceptance
1.1.1 These Terms are an agreement between you and the Parallax Team, which operates Parallax ("Parallax", "we" or "us"), governing your use of Parallax (the "Service"). By accepting these Terms during registration, confirming acceptance or otherwise using the Service, you acknowledge that you have read, understood and accepted them.
1.1.2 If you do not agree to any part of these Terms, do not register or use the Service. You may stop using the Service and close your account under section 14.
1.2 Related documents
1.2.1 These Terms, the Parallax Privacy Policy, the plan, price and quota information published on the pricing page and shown at checkout, and the fair-use rules published on the website form the agreement between you and us. The Privacy Policy prevails for matters concerning personal information if it conflicts with these Terms.
1.2.2 Payments for Paid Plans are processed by Waffo as described in section 8.2. The payment transaction is also subject to Waffo's Buyer Terms, which Waffo presents at checkout.
1.2.3 We accept third-party rights complaints through the Rights Notice page (/takedowns). See section 10 for the process.

2. The Service
2.1 Features
2.1.1 The Service ingests papers from public academic sources, currently primarily arXiv, and processes them into structured information, semantic indexes, summaries and explanatory material to help you organize, search, discuss and retain knowledge. Available features are those actually offered on the website.
2.1.2 We continually develop the Service and may add, change, suspend or discontinue features. We will notify you of material changes to the scope of the Service under section 14.1.
2.1.3 When you enable workspace background processing or scheduled tasks, the system may continue processing associated content, calling AI services and generating results while you are offline. These calls consume credits and count toward your quotas. You may pause background processing or disable scheduled tasks through the corresponding feature. Pausing does not reverse completed processing or requests already sent to third parties.
2.2 Availability
2.2.1 We aim to operate a reliable Service, but do not guarantee uninterrupted, error-free or absolutely secure operation. Maintenance, upgrades, incident response or events beyond our control may interrupt some or all of the Service. We will make reasonable efforts to give advance or timely notice.
2.3 Third-party services
2.3.1 The Service depends on third parties such as cloud hosting, AI and email providers. Their conduct and availability are subject to their own rules, and we do not guarantee them. We will make reasonable efforts to coordinate when a third-party issue affects the Service. Liability for indirect losses remains subject to section 12.
3. Accounts and Registration
3.1 Eligibility
3.1.1 You must have legal capacity to enter into these Terms. If you are at least 14 but under 18, your parent or guardian must read and agree to these Terms before you use the Service. A parent or guardian must also consent to any purchase of a Paid Plan. The Service is not intended for children under 14. Do not allow children under 14 to register or use it.
3.1.2 Information you provide when registering must be truthful, accurate and complete. Keep it up to date.
3.2 Account security
3.2.1 Keep your login credentials secure. You are responsible for activity under your account, except where you can demonstrate that unauthorized activity resulted from our fault.
3.2.2 Notify us immediately if you discover impersonation or unauthorized account access. We may temporarily restrict the account or take other reasonable measures to protect it or the Service.
3.3 Account closure
3.3.1 You may close your account through account settings. Closure invalidates your sessions and login credentials, clears or replaces account details such as your email, original username and avatar, and makes private assets such as conversations and notes unavailable to you. Support tickets, public articles and necessary historical records may be retained separately. See section 7 of the Privacy Policy for retention and deletion arrangements. See section 8.12 for the effect of closure on a Paid Plan.
4. User Content
4.1 Scope
User Content includes conversation messages, note text, pasted or uploaded text, images and attachments, collection and view names and settings, workspace goals, scheduled-task instructions and related settings.
4.2 Ownership and your responsibilities
4.2.1 You retain all rights you hold in User Content. Submitting it to the Service does not transfer ownership.
4.2.2 You are responsible for your User Content and represent that you have the necessary rights to submit, store and process it; that doing so does not infringe copyright, data rights or other third-party rights; and that it complies with applicable law.
4.2.3 The Service provides tools and storage for your use. We do not review pasted or uploaded content in advance unless required by law. We act on qualifying rights notices under section 10.
4.3 Permission to process User Content
4.3.1 To provide the Service, including storage, display, search and automated analysis or response generation, you grant us a limited, non-exclusive, worldwide, royalty-free license. Third parties providing cloud storage, AI and related services may process User Content only to the extent necessary for these purposes. See sections 4 and 5 of the Privacy Policy. This license does not authorize third parties to use User Content for unrelated purposes.
4.3.2 After you delete User Content or close your account, we stop using it to provide features you have discontinued. We may continue storing and processing recovery-period data, backups and security, support or dispute records to the extent necessary for their respective retention purposes under section 7 of the Privacy Policy. Fully anonymized aggregate statistics that cannot be associated with you may be retained.
4.4 Unlawful or infringing content
If we discover, or receive a rights complaint indicating, that User Content may be unlawful or infringing, we may remove it, block access, restrict account features and retain necessary records. You are responsible for consequences arising from your breach of section 4.2.2.
5. Third-Party Papers and Intellectual Property
5.1 Sources and notices
5.1.1 Paper metadata comes from public academic sources, currently arXiv. Paper text is obtained from sources such as arXiv's official pages. We follow the applicable source terms when obtaining materials. Metadata licenses do not grant additional rights to linked papers or other full-text materials.
5.1.2 Relevant pages display license information and links to the original paper. You may use these links to visit the source.
5.2 License-based handling
5.2.1 Papers are handled according to the license selected by their authors:
- Papers with suitable open licenses, such as CC0 or CC BY: We may store the full text and generate and display machine translations and explanatory material, with attribution required by the license, including authors, title, source link, license name and link, and version.
- Papers without permission for commercial use: We handle these under section 5.3.
5.2.2 We do not expose original paper text for search-engine indexing or provide public channels for bulk retrieval of original text or translations.
5.3 Papers without permission for commercial use
5.3.1 For papers without permission for commercial use, including those with unknown or unrecognized licenses, we do not provide a persistent full-text library or features for reading, downloading or distributing the original text as such. Temporary machine processing for tasks follows section 5.3.2. Research Artifacts generated at your direction follow section 5.3.4.
5.3.2 To perform a specific paper-understanding, search or discussion task you initiate, or that runs under settings you have enabled, we may temporarily obtain original text and process it by machine within the scope needed for the task. The following limits apply:
- (a) Temporary availability: A Temporary Copy has a strict validity period. Use may renew that period, but its total validity may not exceed twenty-four (24) hours from writing the copy. After expiry, the system stops reading from the copy, and periodic background cleanup deletes it. Expiry and physical deletion do not occur at the same instant.
- (b) User isolation: Temporary text obtained for your task is not shared with other users.
- (c) Machine processing only: Temporary Copies are used by automated systems, including AI models, to understand content and generate outputs for the task. Temporary Copies themselves are not exposed through original-text reading, download or export features.
- (d) No expansion of the source license: This processing does not grant, transfer or expand any license to the paper or change its original license.
5.3.3 Apart from Research Artifacts, we may retain non-reproductive outputs needed for search and discussion: paper metadata provided by the source under CC0, semantic vectors and limited-length structured summaries or interpretations, such as fact cards, section highlights and reading guides. These system-generated outputs do not contain copies or translations of the original text. Their length and format are constrained so that they do not substitute for the original.
5.3.4 Research Artifacts. When you direct the Service, including through instructions given to an AI agent or to tasks it dispatches, to analyze a paper covered by this section 5.3, the resulting Research Artifacts are generated at your direction for your own research, and the following applies in addition to section 6.4:
- (a) Private storage: Research Artifacts are stored in your account. We do not make them available to other users or the public, and we do not expose them for search-engine indexing. They are not Temporary Copies and are retained and deleted in the same manner as your other private assets under section 7 of the Privacy Policy.
- (b) Content determined by your instructions: We do not impose a fixed length limit on Research Artifacts. Their content is determined by the instructions you give, subject to the safeguards the Service applies to papers covered by this section 5.3, under which automated systems analyze and paraphrase such papers, quote only short passages and do not reproduce or translate whole sections or the full text. You are solely responsible for ensuring that your instructions, and any use you make of Research Artifacts, comply with applicable copyright law, including the conditions of any limitation or exception for private study, research, quotation, criticism or review, and with the license of the source paper.
- (c) Limits on sharing original text: You may not publish, share, distribute, sell, make available to any other person, or otherwise commercially exploit any Research Artifact that contains a substantial part of the original text or a translation of it, and you may not use the Service to compile a full-text copy of a paper, or a substitute for obtaining it from an authorized source. You may not circumvent or attempt to circumvent the safeguards described in section 5.3.4(b), including through instructions designed to induce automated systems to reproduce or translate such text.
- (d) No grant of rights: Generating or storing a Research Artifact does not grant, transfer or expand any right in the source paper, which remains with its rights holders.
- (e) Notices and measures: Upon a qualifying notice under section 10, or where we otherwise have reasonable grounds to believe that a Research Artifact infringes third-party rights or breaches this section, we may remove it, disable access to it or take measures under section 7.4.
5.4 Platform Outputs
5.4.1 Platform Outputs other than Research Artifacts, such as the summaries, fact cards, section highlights, explanations and machine translations shown on paper pages, are research aids that we generate and make available to users of the Service. Subject to the rights of third parties in the underlying papers, we retain our rights in them. You may use them for your own research, study and work, and may quote reasonable excerpts with attribution to the source paper and to Parallax, subject to the license of the source paper.
5.4.2 Without our written permission, you may not systematically scrape, bulk-export, resell or redistribute Platform Outputs, use them to build a database or service that substitutes for the Service, or remove attribution or license notices. This section 5.4.2 concerns Platform Outputs collected in bulk and does not limit your use of Research Artifacts under section 6.4.
5.4.3 Machine translations and AI summaries may be incorrect. Consult the source paper for its original wording. See section 6.
5.5 Rights-holder removal requests
5.5.1 Rights holders may submit notices under section 10. For verified complaints, we will remove affected content, including full text and translations stored under open licenses, and retain handling records.
5.6 Content we publish
5.6.1 We may publish our own editorial content on the Service, such as articles in the Research section, which may be prepared with the help of AI and are selected, reviewed and published by us. Such content is not prepared from your account, and section 6.4.4 applies to your Research Artifacts. When our content discusses papers covered by section 5.3, we analyze and paraphrase them, quote only short passages with attribution and do not reproduce or translate their text. Rights holders may submit notices about our content under section 10.
6. AI-Generated Content
6.1 Accuracy
6.1.1 The Service includes AI-generated replies, summaries, explanations and translations. AI outputs may contain errors, omissions, outdated information or inaccuracies. They are not professional advice, including legal, medical or investment advice, and should not be your sole basis for a decision. Verify important facts through the original-source links.
6.1.2 Discussion of restricted-license papers may use summaries and relevant original-text sections temporarily obtained under section 5.3. Generated summaries and replies may still be inaccurate and do not represent an accurate or complete statement of the original paper.
6.2 Quotations
6.2.1 AI replies and Research Artifacts may contain quotations for explanation, commentary or research. For Research Artifacts, the extent of quotation follows your instructions and is subject to section 5.3.4. Do not rely on the Service to obtain a paper's full text; obtain it from the source linked on the paper's page.
6.3 Use restrictions
6.3.1 You may not use AI outputs to develop products or services competing with Parallax, for unlawful purposes, or to circumvent third-party license restrictions or access controls.
6.4 Ownership of Research Artifacts
6.4.1 As between you and us, you own the Research Artifacts generated for your account. To the extent we hold any right, title or interest in a Research Artifact, we assign it to you, subject to your compliance with these Terms. This assignment does not include any right in Third-Party Content that a Research Artifact quotes, summarizes or otherwise reflects, which remains with its rights holders under section 5.3.4(d), nor any right in the Service or in the Platform Outputs described in section 5.4.1.
6.4.2 No guarantee of protection or uniqueness. Whether a Research Artifact is protected by copyright or other rights depends on applicable law, including the extent of your own creative contribution, and we do not represent that it is protected. Because of the nature of AI, outputs may not be unique: other users may receive identical or similar outputs, and your ownership under section 6.4.1 does not extend to outputs generated for other users.
6.4.3 Your use. You may use, modify, publish and share your Research Artifacts, including in academic, professional and commercial work, provided that you comply with section 5.3.4(c), section 6.3, the licenses of the source papers and applicable law. You are responsible for verifying a Research Artifact before relying on it, for crediting the sources it draws on, and for following any rules on disclosing AI-generated content that apply where you use it, such as the policies of journals, conferences, institutions or applicable law.
6.4.4 Our license and your privacy. You grant us a license on the terms of section 4.3 to store, process and display Research Artifacts to you, and otherwise handle them only as needed to provide, secure and support the Service. Section 4.3.2 applies after you delete them or close your account. We do not make your Research Artifacts available to other users or the public, or use them in our own published content such as the Research section, without your separate consent. See section 3 of the Privacy Policy regarding model training.
7. Acceptable Use
7.1 General responsibilities
Use the Service in accordance with applicable law and these Terms, for your own research, learning and work.
7.2 Prohibited conduct
You agree not to:
- (a) Infringe copyright, patents, trademarks, trade secrets, data rights or other third-party rights.
- (b) Systematically scrape, crawl or mirror the Service, or use automation to obtain content beyond normal use without our written permission.
- (c) Resell, sublicense or redistribute content or computing resources provided by the Service.
- (d) Circumvent or undermine third-party license restrictions or technical safeguards.
- (e) Reverse-engineer, decompile, conduct unauthorized security testing, disrupt or overload the Service.
- (f) Create multiple accounts to bypass quotas, obtain welcome or promotional credits repeatedly or otherwise abuse free allowances.
- (g) Upload or submit malicious code or unlawful content, or engage in fraud, harassment or other harmful conduct.
- (h) Violate applicable sanctions or export-control rules.
- (i) Use the Service to reproduce, translate or compile papers covered by section 5.3 in breach of section 5.3.4(c).
7.3 Quotas and limits
7.3.1 To protect availability and fair use, we impose rate limits, task quotas and credit-based usage limits. Requests beyond these limits may be throttled, queued or rejected. Applicable quotas are those published on the pricing page and shown in your account. Changes to the allowances of a Paid Plan follow section 8.6.
7.4 Violations
7.4.1 We may respond to violations with warnings, limits, account suspension or termination. Serious violations or those affecting third-party rights may result in immediate termination. We may retain evidence and cooperate with regulatory or judicial processes.
8. Plans, Payments, Credits and Refunds
8.1 Plans
8.1.1 Every account can use the Free Plan at no charge. Paid Plans provide more credits, higher quotas and additional features. The features, allowances, prices and billing intervals of each plan are those shown on the pricing page and at checkout when you purchase.
8.1.2 Using the Free Plan never turns into a paid subscription automatically. A Paid Plan starts only when you complete a purchase at checkout.
8.2 Seller, prices and taxes
8.2.1 Purchases of Paid Plans are sold and processed by Waffo as merchant of record and authorized reseller. Waffo collects payment, calculates and remits applicable taxes, issues invoices and handles payment-related matters under its Buyer Terms. Parallax provides the Service itself. Your bank or card statement may show "WAFFO" or "WAFFO PANCAKE".
8.2.2 Prices are quoted in US dollars and exclude taxes unless stated otherwise. Applicable taxes, such as VAT, GST or sales tax, are calculated by Waffo based on your location and shown at checkout before you confirm payment. If you pay with WeChat Pay, the amount in Chinese yuan is converted by the payment provider and shown at checkout.
8.2.3 Payment details such as card numbers are entered directly with Waffo. We do not receive or store your full card number or security code.
8.3 Automatic renewal
8.3.1 When you purchase a Paid Plan with a card, Apple Pay or Google Pay, your subscription renews automatically at the end of each Subscription Period for the same plan and billing interval. By completing the purchase, you authorize Waffo to charge your payment method on a recurring basis at the start of each new Subscription Period, at the price then in effect under section 8.6, until you cancel under section 8.4.
8.3.2 A purchase made with WeChat Pay covers a single one-month period and does not renew automatically. You may purchase again when it ends.
8.3.3 Waffo sends order confirmations and subscription notices, including notices before upcoming charges where enabled, to the email address used at checkout.
8.4 Cancellation
8.4.1 You may cancel automatic renewal at any time with Cancel renewal on the Subscription tab of your account center, through Waffo's customer portal, or by emailing support@parallax.ink. To make sure the next charge is not taken, cancel at least 48 hours before your current Subscription Period ends.
8.4.2 Cancellation stops future charges. Your current Subscription Period remains active with its benefits until it ends, after which your account returns to the Free Plan. Cancellation is not a refund. Refunds are handled under section 8.10.
8.4.3 Before the current Subscription Period ends, you may resume automatic renewal from the same page. Resuming does not grant new credits or extend the current period.
8.5 Changing plans
8.5.1 You may change plans on the Subscription tab of your account center. Upgrades take effect immediately: the unused value of the payment for your current Subscription Period is credited toward the new plan, a new Subscription Period begins on the day of the upgrade, and the new plan's monthly credits are issued at once. Because that unused value is credited toward the price, your current plan's monthly credits for the remaining time count toward the new plan's credits for the first new Subscription Period instead of being issued again; any of them you have not used remain valid until that period ends. The amount charged and the credits to be issued are shown before you confirm.
8.5.2 Downgrades and switches between monthly and yearly billing take effect at your next renewal. Your current plan and its benefits remain unchanged until then.
8.5.3 Some changes may be unavailable close to renewal, for certain payment methods, or while a payment or refund is being processed. The options available to your account are those shown on the Subscription tab.
8.6 Price and plan changes
8.6.1 We may change prices or plan allowances. A price increase or a reduction in your Paid Plan's allowances will not apply during a Subscription Period you have already paid for. We will notify you within the Service or by email at least fourteen (14) days before such a change applies to your next renewal. If you do not agree, you may cancel under section 8.4 before that renewal.
8.7 Failed payments
8.7.1 If a renewal payment fails, Waffo may retry the charge and notify you. While a retry is pending, we may keep your Paid Plan access for up to 48 hours after your Subscription Period ends; monthly credits for the new period are issued only after the payment succeeds. If the payment does not succeed, your account returns to the Free Plan until a payment succeeds.
8.8 Credits
8.8.1 Features that call AI models, such as chat, literature search, paper analysis and report writing, consume credits based on actual usage, which depends on the model used, paper length and task depth. We may adjust how many credits a feature consumes; the current rates and estimates are shown within the Service.
8.8.2 Credits come from the following sources, each with its own validity:
- Daily credits are made available each UTC calendar day according to your plan, are valid only for that day and do not accumulate.
- Monthly credits are issued once per credit month while a Paid Plan is active, including on yearly plans. Monthly credits are valid only until the end of the credit month for which they are issued, which on a monthly plan is your current Subscription Period. Monthly credits not used by then expire and do not roll over to the next credit month or Subscription Period.
- Welcome credits may be granted after you verify your email address and are valid for the period stated when they are granted.
- Promotional or compensatory credits we grant are valid for the period stated when they are granted.
8.8.3 Credits that expire soonest are used first. Longer tasks may reserve credits when they start; any reserved credits not used are returned when the task settles. If the actual cost of a call in progress exceeds your remaining balance, the call completes and we do not bill you for the shortfall, but features that require credits may pause until more credits are available. Expired credits are forfeited.
8.8.4 Credits are a usage allowance, not money or stored value. They have no cash value, cannot be transferred, sold or exchanged for money, and are not refundable on their own. When a payment is refunded or reversed, unused credits issued from that payment are withdrawn under section 8.10.4.
8.9 Quotas and plan expiry
8.9.1 Weekly quotas, such as limits on searches and on the number of papers prepared, analyzed or translated, are counted separately from credits and reset at 00:00 UTC each Monday. A quota may be reached even while you have credits remaining.
8.9.2 When a Paid Plan ends or is downgraded, the limits of your new plan apply. Features not included in that plan become unavailable, workspaces or scheduled tasks above the plan's limits may be paused, and you may be unable to add content beyond the plan's storage limits. Your existing content is not deleted because of a downgrade or expiry.
8.10 Refund Policy
8.10.1 Cancelling automatic renewal does not refund the current Subscription Period, and the unused remainder of a period is not refunded pro rata on cancellation. Credits already consumed are not refunded, because every AI call incurs real model costs. Refunds are available in the cases described in section 8.10.2.
8.10.2 You may request a refund of a payment, in full or in part, within one hundred twenty (120) days of the payment, in cases such as the following:
- (a) you were charged more than once, in an incorrect amount or by mistake;
- (b) the payment was not authorized by you;
- (c) the paid features you purchased were defective or did not match their description;
- (d) a technical problem on our side or Waffo's prevented you from accessing the paid features you purchased; or
- (e) applicable law requires a refund.
8.10.3 How to request a refund:
- Within fourteen (14) days of the payment, you may submit a request yourself through Waffo's customer portal.
- At any time within the 120-day period, you may open a support ticket in your account center or email support@parallax.ink, including the order number, payment date and amount. You may also contact Waffo at support@waffo.ai.
Requests submitted to us are reviewed by us and, if approved, issued through Waffo. Requests submitted to Waffo are decided by Waffo under section 9 of its Buyer Terms, without requiring our approval. Approved refunds are returned to the original payment method: WeChat Pay refunds are usually immediate, and card, Apple Pay and Google Pay refunds are processed by the card issuer and usually arrive within 3–10 business days, and no later than 14 business days.
8.10.4 A full refund ends the Paid Plan benefits funded by that payment and stops automatic renewal for that subscription. A partial refund keeps the subscription active. In either case, unused credits issued from the refunded payment are withdrawn in proportion to the amount refunded; credits already consumed are not reversed.
8.10.5 Statutory right of withdrawal. If you are a consumer in a jurisdiction that grants a right to withdraw from a distance contract, such as the European Union or the United Kingdom, that right applies to your initial subscription purchase and not to renewals. At checkout you ask us to begin providing the Service immediately after payment and acknowledge that you lose your right of withdrawal once the Service has begun. If that request and acknowledgment were not obtained, you may withdraw within the statutory period as provided by applicable law. Refunds remain available under section 8.10.2.
8.10.6 Nothing in this section limits refund, withdrawal or other rights you have under Waffo's Buyer Terms or that cannot be excluded under applicable consumer law.
8.11 Billing disputes and chargebacks
8.11.1 If you believe a charge is incorrect, please contact us at support@parallax.ink or contact Waffo first so that we can resolve it quickly. This does not limit your rights with your bank or card issuer.
8.11.2 While a chargeback or payment dispute is pending, we may suspend the Paid Plan benefits funded by the disputed payment. If a payment is reversed through a chargeback, those benefits end and unused credits issued from it are withdrawn. A payment that has been reversed through a chargeback will not also be refunded.
8.12 Suspension, termination and account closure
8.12.1 If you close your account, automatic renewal is stopped. Closing your account does not by itself refund the current Subscription Period, and unused credits are forfeited. You may still request a refund under section 8.10, and may contact support@parallax.ink or use Waffo's customer portal about billing matters after closure.
8.12.2 If we suspend or terminate your account for a breach of these Terms, automatic renewal is stopped, and fees already paid are not refunded except where section 8.10.2 applies or applicable law requires.
8.12.3 If we discontinue the Service, or terminate your account for reasons other than your breach of these Terms, we will refund the unused portion of fees you prepaid for the current Subscription Period, calculated pro rata.
8.13 Invoices and records
8.13.1 After each payment, Waffo includes an invoice in the order confirmation email. To add a company name, tax ID or other billing details, use Edit Details on the invoice page. Your payment history is available on the Subscription tab of your account center.
8.13.2 We retain payment, subscription, credit and refund records as described in section 7 of the Privacy Policy.
9. Our Intellectual Property
9.1 Except for User Content, Research Artifacts and Third-Party Content, the Service's software, interface, trademarks, documentation and other materials belong to us or their respective rights holders.
9.2 We grant you a limited, non-exclusive, non-transferable license to use the Service personally in accordance with these Terms. All rights not expressly granted are reserved.
9.3 We may use your feedback or suggestions to improve the Service without identifying you or compensating you, provided that this use does not infringe intellectual property rights.
10. Rights Notices and Removal
10.1 Contact: Rights holders or authorized representatives who believe content collected or processed by the Service infringes their rights may submit a notice through /takedowns or email support@parallax.ink. Include the rights holder's identity and contact information, the protected work, affected content identifiers such as an arXiv ID, initial evidence of infringement and a good-faith statement.
10.2 Our response: We receive, review and record notices, request additional information when necessary, and handle qualifying notices promptly, including removal or blocking where appropriate or legally required. We inform the complainant of our response and, where applicable, notify the affected content provider. Any action or notification required by applicable law follows that law's procedures and deadlines.
10.3 Reviews and counter-notices: If you believe a content restriction or related account measure was made in error, you may request a review by emailing support@parallax.ink. Include your contact details, the affected content or account, the notice or decision if available, the reasons for your request and supporting evidence. An affected content provider may submit a counter-statement explaining why the content does not infringe the identified rights. We review the materials and communicate our response, and may request additional information. When required by law, we forward the relevant notice or counter-statement and necessary contact information to the other party, and handle restoration under the applicable legal procedure. This review process does not limit your legal remedies or extend any statutory deadline.
10.4 Abusive notices: A person knowingly submitting an incorrect notice or using notices for unfair competition is responsible for the resulting consequences.
11. Disclaimers
11.1 The Service is provided "as is" and "as available". To the fullest extent permitted by applicable law, we disclaim express or implied warranties, including merchantability, fitness for a particular purpose, accuracy and non-infringement.
11.2 We do not guarantee that (a) the Service will be uninterrupted, error-free or secure; (b) AI outputs will be accurate, complete or suitable for your purpose; (c) Third-Party Content will remain available or its license will remain unchanged; or (d) any particular paper can be ingested or discussed.
11.3 Third-party links and external websites are operated by their respective providers. We are not responsible for their content or conduct.
11.4 You are independently responsible for research conclusions and subsequent uses arising from your use of the Service.
12. Limitation of Liability
12.1 Subject to section 12.2 and only to the extent permitted by applicable law, our total aggregate liability to you for all claims arising from the Service or these Terms is limited to the greater of (a) the amounts you paid for the Service in the twelve (12) months before the event giving rise to the claim and (b) US$100. To the same extent, we exclude liability for indirect, incidental, special or consequential losses. The cap is a total limit across your claims. It does not reduce refunds owed to you under section 8.
12.2 These exclusions and limits do not apply to liability for death or personal injury, our intentional misconduct, gross negligence or fraud, or any liability or remedy that applicable law does not allow us to exclude or limit. Your mandatory consumer rights remain unaffected.
13. Indemnification
13.1 If your User Content, Research Artifacts generated at your direction, or your use of the Service in breach of these Terms or applicable law results in a third-party claim, complaint or lawsuit against us, you must defend and indemnify us for resulting losses, including reasonable legal fees and settlement amounts, except to the extent caused by our intentional misconduct or gross negligence.
14. Changes, Duration and Termination
14.1 Changes to these Terms
14.1.1 We may revise these Terms and publish a new version. Changes that materially affect your rights or obligations will be notified within the Service with a request to confirm acceptance. Some features may be restricted until you confirm.
14.1.2 If you disagree with a new version, you may stop using the Service and close your account. Confirming acceptance and continuing to use the Service following the notice constitutes acceptance. We retain records of the versions you accept.
14.2 Duration and termination
14.2.1 These Terms apply from your acceptance until your account is closed or the Service is terminated under these Terms.
14.2.2 You may stop using the Service and close your account at any time. We may suspend or terminate access for serious violations or irreparable security or legal risks, with reasonable notice. Urgent circumstances may require action before notice. Section 8.12 governs the effect on a Paid Plan.
14.3 After termination
14.3.1 User Content will be made unavailable and deleted or anonymized following the applicable retention periods in section 7 of the Privacy Policy. Records necessary for existing disputes, legal compliance or security may be retained.
14.3.2 Sections 4.4, 5, 6, 8.10 through 8.12 (with respect to payments made before termination), 10 through 13 and this section survive termination.
15. Other Provisions
15.1 Notices: We may notify you within the Service or at your registered email address. Notices sent to that address are deemed delivered.
15.2 Severability: If any provision is invalid or unenforceable, the remaining provisions remain effective. The affected provision will be replaced, where permitted by law, with one that most closely reflects its original purpose.
15.3 No waiver: A failure or delay to exercise a right does not waive it.
15.4 Assignment: We may assign these Terms in a merger, acquisition or asset reorganization and will make reasonable efforts to notify you in advance.
15.5 Applicable law and disputes: These Terms do not designate an exclusive governing law or court. The law applicable to a dispute and the courts with jurisdiction are determined under the applicable conflict-of-laws and jurisdiction rules. You may contact support@parallax.ink to seek an informal resolution, but doing so is not a prerequisite to exercising your legal rights. Nothing in these Terms removes mandatory protections under applicable consumer or other law, requires arbitration, or prevents you from bringing a claim before a court with jurisdiction.
15.6 Entire agreement: These Terms and the documents listed in section 1.2 constitute the entire agreement concerning the Service and replace prior oral or written agreements.
15.7 Contact: Parallax Team; email for support, billing, cancellation and refund requests: support@parallax.ink.
